新規株式公開は多くの市場参加者が関与する各種の手続きから構成されており、その結果、多様な利害対立が内在している点に、その最大の特徴を求めることができる。換言すれば、新興市場や新規株式公開の望ましい制度のあり方は、市場参加者によって異なったものとなる。こうしたなか、既に国内でも行政当局、自主規制機関、業界関係者、研究者等によって、新興市場や新規株式公開の望ましい制度のあり方に関して活発な議論が進められてきたが、これら議論の多くは市場参加者間の利害対立をどのように調整すべきかについて、必ずしも、統一的な視点あるいは公平な立場から整理してきたわけではないように窺われる。そこで本稿では、既存研究を丹念に調べることを通じて、新興市場や新規株式公開の制度設計を考察するうえで重要となる切り口を提示し、これをもって、既往の議論に対して新たな洞察を提供することを企図している。 こうした目的のために本稿は幅広い論点に亘り新興市場や新規株式公開を考察している。議論は2つの柱から成る。第一は新規株式公開を巡るアノマリーを通じた考察である。具体的には、過小値付け問題（アンダープライシング）、中長期アンダーパフォーマンス、IPOサイクルに注目する。これらアノマリーの発生原因に関する理論・実証分析を概観することを通じて、制度設計上の課題を浮き彫りにする。第二の柱は、新興市場と新規株式公開に係わる各種法制度に関する考察である。価格決定・割当方式、上場基準・上場手数料、新規公開時の情報開示制度、需給調整制度、売買制度、上場廃止制度が本稿の分析対象である。各制度について、それが果たす経済的な機能、その機能が発現しているかに関する実証的分析を点検することを通じて、制度設計上の留意点を整理する。こうした作業を経たうえで、最後に、今後の制度設計に対する示唆と研究課題を取り纏める。","subitem_description_type":"Abstract"}]},"item_1_full_name_3":{"attribute_name":"著者別名","attribute_value_mlt":[{"nameIdentifiers":[{"nameIdentifier":"9044","nameIdentifierScheme":"WEKO"}],"names":[{"name":"Iwai,
